Hier eine Klausel (natürlich wie immer ohne Gewähr) für Verträge, bei denen das Honorar für den Dienstleister (Makler) in Form einer erfolgsabhängigen Vermittlungsprovision anfallen soll. Die hier vorgestellte Musterklausel ist sehr maklerfreundlich gestaltet. Natürlich kann man auch eine reine Vermittlungsprovision vereinbaren (genannt „Success Fee“ oder „Commission“, nicht aber „provision“, das hat im Englischen eine andere Bedeutung) und die Grundgebühr und/oder Auslagen streichen. Je hochwertiger die Maklerdienstleistung (etwa Vermittlung von Investoren), desto eher wird der Makler auf einer Basic Fee bestehen.

Agent Fees and Expenses:

Agent shall receive fees and expenses as set out below:

a) Basic Fee:
During the term of this Agreement the Client will pay the Agent a Basic Fee of …… per month for the general setup and allocation of infrastructure and team members (as defined in section … above). In the event of the closing of a Transaction 50 per cent of the until then accrued Basic Fee shall be deducted from the Success Fee.

b) Success Fee (Commission):
Upon closing of the Transaction (as defined in section … above), the Client will pay the Agent a Success Fee of … per cent on the net contract amount. The Client will – for a period of two years after termination of this Agreement – also pay the Agent such Success Fee for any subsequent Transactions between Client and any third party that has been introduced to the Client by the Agent. The Success Fee shall be due and payable to the Agent within thirty (30) days after (i) closing of the Transaction and (ii) receipt of payment by Client of the respective contract amount.

c) Expenses:
The Client agrees to reimburse the Agent promptly for all reasonable out of pocket expenses incurred in connection with this Agreement (including, but not limited to, reasonable expenses on travel, accommodation, courier charges, meeting expenses). Expenses incurred by the Agent in a given month shall be due and reimbursed to the Agent within thirty (30) days after the receipt of a correct invoice with supporting documents and receipts attached by the Client of the same provided by the Agent.
